Box 408, Atchison, Kansas 66002, or appear no later than Monday, August 26, 2019 at 10.00 a.m. at which time said Petition shall be heard and time for objections to the Petition shall lapse. ORDINANCE NO. 2019-05

AN ORDINANCE OF THE CITY OF EFFINGHAM, KANSAS, APPROVING THE ISSUANCE OF $395,000 AGGREGATE PRINCIPAL AMOUNT OF THE EFFINGHAM PUBLIC BUILDING COMMISSION, EFFINGHAM, KANSAS, REVENUE REFUNDING BONDS, SERIES 2019 (SWIMMING POOL PROJECT) FOR THE PURPOSE OF PROVIDING FUNDS TO REDEEM AND PAY IN FULL THE COMMISSION’S REVENUE BONDS, SERIES 2008; PRESCRIBING THE FORM AND AUTHORIZING THE EXECUTION OF A FIRST SUPPLEMENTAL SITE LEASE AND SUBORDINATION AGREEMENT BY AND BETWEEN THE CITY AND THE COMMISSION; AND PRESCRIBING THE FORM AND AUTHORIZING THE EXECUTION OF A FIRST SUPPLEMENTAL LEASE BY AND BETWEEN THE EFFINGHAM PUBLIC BUILDING COMMISSION AND THE CITY.

WHEREAS, the Effingham Public Building Commission, Effingham Kansas (the “Commission”) is a public building commission established under K.S.A. 12-1757 et. Seq., as amended by and as charted from with substitute and additional provision under Charter Ordinance No. 9 (collectively, the “Act”) of the City of Effingham, Kansas (the “City”); and

WHEREAS, pursuant to the Act, the Commission is authorized to issue revenue bonds and revenue refunding bonds for the purpose of providing funds to acquire, construct, equip and furnish buildings or other facilities maintained and operated for the affairs and activities of the City (including, but not limited to, swimming pools); and

WHEREAS, the City leased certain Land to the Commission under and pursuant to a certain Site Lease and Subordination Agreement, dated as of December 10, 2008 (the “Site Lease”), by and between the City, as lessor, and the Commission as lessee; and

WHEREAS, the Commission issued Revenue Bonds under the authority of the Act, in an aggregate principal amount of $565,000 for the acquiring, constructing and equipping of a swimming pool facility which (together with the aforementioned Land) (the “2008 Improvements”) was leased back to the City pursuant to a Lease Agreement dated as of December 10, 2008, (the “Lease”); and

WHEREAS, the City hereby finds it necessary and desirable to request the Commission to issue its Revenue Refunding Bonds, Series 2019, in the aggregate principal amount of $395,000 (the “Project”) in order to cause interest rate savings to the City and to enter into a First Supplemental Lease Agreement dated September 10, 2019, and a First Supplemental Site Lease and Subordination Agreement dated September 10, 2019; and

WHEREAS, the City desires the Commission issue its Revenue Refund Bonds, Series 2019 (Swimming Pool Project) in the aggregate principal amount of $395,000 (the “Series 2019 Bonds”) for the purpose of paying the costs of the Project and paying certain costs of issuance of the Series 2019 Bonds; and

WHEREAS, the City finds and determines that it is necessary and desirable in connection with the issuance of the Series 2019 Bonds (a) to enter into a First Supplemental Site Lease and Subordination Agreement dated as of September 10, 2019 (the “First Supplemental Site Lease”), with the Commission pursuant to which the City shall lease the aforementioned Land to the Commission; and (b) to enter into a First Supplemental Lease Agreement dated as of September 10, 2019 (the “First Supplemental Lease Agreement”), with the Commission pursuant to which the City shall lease the 2008 Improvements in consideration of payments, Basic Rent, Additional Rent and other charges provided for therein.

NOW, THEREFORE, BE IT ORDAINED BY
THE GOVERNING BODY OF THE CITY OF
EFFINGHAM, KANSAS, AS FOLLOWS:


Section 1. Definition of Terms. All terms and phrases not otherwise defined herein shall have the respective meanings set forth in the Lease, as amended and supplemented.
Section 2. Approval of the Series 2019 Bonds. The governing body of the City hereby approves the issuance of the Series 2019 Bonds by the Commission.
Section 3. Authorization of the First Supplemental Site Lease. The City is hereby authorized to enter into and deliver the First Supplemental Site Lease and Subordination Agreement dated as of September 20, 2019, by and between the City and the Commission.

Section 4. Authorization of the First Supplement Lease. The City is hereby authorized to enter into and deliver the First Supplemental Lease Agreement dated as of September 20, 2019, by and between the Commission and the City.

Section 5. Execution of Documents. The Mayor is herby authorized and directed to execute and deliver the First Supplemental Site Lease and Subordination Agreement and the First Supplemental Lease Agreement for and on Behalf of and as the act and deed of the City, with such minor corrections and amendments thereto as the Mayor shall approve, which approval shall be evidenced by his or her execution thereof, and such other documents, certificates and instruments as may be necessary or desirable to carry out and comply with the purposes and intent of this Ordinance. The City Clerk, or any deputy thereof or assistant thereto, is hereby authorized and directed to attest the execution of the First Supplemental Site Lease and Subordination Agreement and the First Supplemental Lease Agreement, and such other documents, certificates and instruments as may be necessary or desirable to carry out and comply with the intent of this Ordinance.

Section 6. Further Authority. The City shall, and the officers, agents and employees of the City are hereby authorized and directed to, take such action and execute such other documents, certificates and instruments (including without limitation any necessary Arbitrage Rebate Compliance Agreement) as may be necessary or desirable to carry out and comply with the provisions of this Ordinance and to carry out, comply with and perform the duties of the City with respect to the Site Lease and the Lease, all as necessary to carry out and give effect to the transactions contemplated hereby and thereby.

Section 7. Effective Date. This Ordinance shall take effect and be in full force from and after its adoption by the governing body of the City and publication once in the official newspaper of the City.
